These Terms & Conditions (“Terms”) govern access to and use of UniCred's digital credential platform at unicred.io and related services (together, the “Platform”), operated by Unicred Technologies Private Limited (“UniCred,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms, and “you” refers to both you individually and the organization.

If you do not agree to these Terms, do not access or use the Platform.

UniCred provides a platform that allows Issuing Organizations, such as universities, government bodies, corporate employers, and EdTech platforms, to issue, manage, and revoke digital credentials, including degrees, certificates, licenses, transcripts, and badges. Credentials issued through the Platform are backed by cryptographic records anchored to the Polygon network to support tamper-proof verification. Credential Holders can access, store, and share their credentials, and third parties can verify credential authenticity through the Platform.

UniCred acts as the technology provider supporting credential issuance and verification. UniCred does not independently verify the underlying accuracy of academic, professional, or personal information submitted by an Issuing Organization. Responsibility for the accuracy of credential content rests with the Issuing Organization, as described in Section 5.

To use the Platform, you must:

• Be at least 18 years old, or the age of majority in your jurisdiction, or be using the Platform through an authorized institutional relationship, such as a school or university managing credentials on behalf of enrolled students
• Have the legal authority to enter into these Terms, whether individually or on behalf of an organization
• Not be barred from using the Platform under applicable law

Issuing Organization accounts must provide accurate registration information, including organizational details and authorized administrator contacts. Issuing Organizations are responsible for maintaining the confidentiality of account credentials and for all activity conducted under their account, including actions taken by staff members granted access.

Credential Holder accounts are used to access, manage, and share credentials issued to that individual. Credential Holders are responsible for keeping their login information secure and for promptly notifying UniCred of any unauthorized use of their account.

We may suspend or terminate accounts that provide false information, violate these Terms, or are used in a manner that risks harm to the Platform, other users, or third parties.

Issuing Organizations are responsible for:

• The accuracy of all credential content they submit or approve for issuance
• Ensuring they have the legal right to collect, process, and issue credentials containing the personal data of Credential Holders
• Complying with applicable education, employment, licensing, and data protection laws relevant to their sector
• Managing revocation or correction of credentials they have issued, where appropriate

Credential Holders are responsible for:

• Providing accurate information where directly requested by UniCred, such as during account setup
• Using their credentials honestly and not misrepresenting credential content to third parties
• Keeping their account access secure

Verifiers are responsible for:

• Using verification results appropriately and not relying on UniCred as a substitute for their own due diligence where higher assurance is required, such as regulatory licensing decisions

You agree not to:

• Use the Platform to issue, submit, or request fraudulent, falsified, or misleading credential information
• Attempt to alter, forge, or misrepresent a credential issued through the Platform
• Interfere with or disrupt the Platform's operation, including through unauthorized access attempts, malware, or excessive automated requests
• Use the Platform in violation of any applicable law or regulation
• Reverse engineer, decompile, or attempt to extract the underlying source code of the Platform, except where permitted by law
• Use the Platform to collect or process personal data unlawfully

We reserve the right to investigate suspected violations and to suspend or terminate access for any account involved in prohibited activity.

When an Issuing Organization issues a credential through UniCred, a cryptographic record supporting that credential's authenticity is created and anchored to the Polygon network. This is designed to make the credential's core content tamper-proof once issued.

Because of how blockchain technology works, some records associated with issuance may be effectively permanent and cannot be fully deleted, even if a credential is later revoked or corrected. Revocation changes a credential's status so it no longer verifies as valid, but it does not erase the historical record that a credential was issued on a given date. Issuing Organizations should account for this when deciding what information to include in a credential before issuance.

UniCred is not responsible for the accuracy of the underlying academic, professional, or personal information submitted by an Issuing Organization. Our role is to provide the technology that makes issued credentials tamper-proof and verifiable, not to independently confirm the truth of the underlying achievement.

Access to certain features of the Platform may require payment of fees, as described in an applicable order form, subscription plan, or pricing page. Fees are billed in accordance with the payment terms agreed between UniCred and the Issuing Organization. Unless otherwise stated, fees are non-refundable except as required by law or as separately agreed in writing.

The Platform, including its software, design, branding, and underlying technology, is owned by UniCred or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you ownership of the Platform itself.

Issuing Organizations retain ownership of the credential content and data they submit to the Platform. Credential Holders retain ownership of the credentials issued to them personally. UniCred is granted a limited license to process and store this data as necessary to operate the Platform and provide the services described in these Terms.

If you believe content on the Platform — including a certificate template, branding asset, or other material uploaded by an Issuing Organization — infringes your intellectual property rights, notify us at privacy@unicred.io with a description of the material, your rights in it, and your contact details. We will review the notice and take appropriate action, which may include removing or disabling access to the material, consistent with applicable law.

The Platform may integrate with third-party systems, such as student information systems, HR platforms, or learning management systems, through API connections authorized by an Issuing Organization. UniCred is not responsible for the performance, security, or data practices of third-party systems outside of our direct control. Use of any third-party integration is subject to that third party's own terms and policies, in addition to these Terms.

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, UniCred disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

UniCred does not guarantee that the Platform will be uninterrupted, error-free, or completely secure, though we take reasonable measures to maintain reliability and security. UniCred does not guarantee the underlying truthfulness of credential content submitted by Issuing Organizations, only the tamper-proof handling of that content once issued.

To the fullest extent permitted by applicable law, UniCred and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of data, loss of revenue, or reputational harm, even if advised of the possibility of such damages.

UniCred's total liability for any claim arising from these Terms or use of the Platform will not exceed the amount paid by the relevant Issuing Organization to UniCred in the twelve months preceding the claim, or [a fixed amount, if applicable], whichever is greater, except where applicable law does not permit such limitation.

You agree to indemnify and hold harmless UniCred and its officers, employees, and affiliates from any claims, damages, losses, or expenses, including reasonable legal fees, arising from your violation of these Terms, misuse of the Platform, or violation of applicable law, including any claim arising from inaccurate credential content you submitted or approved as an Issuing Organization.

We may suspend or terminate your access to the Platform, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or harmful activity, or if required by law.

You may terminate your account at any time by contacting us, subject to any separate agreement governing an Issuing Organization's subscription term. Termination does not affect credentials already issued and validly held by Credential Holders, which remain accessible to them in accordance with our credential ownership principles described in the Privacy Policy.

These Terms are governed by the laws of [Jurisdiction, e.g. India], without regard to conflict of law principles. Any disputes arising from these Terms or use of the Platform will be subject to the exclusive jurisdiction of the courts of [City, Jurisdiction], unless otherwise required by applicable law.

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will post the updated Terms on this page with a revised “Last Updated” date. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. Where changes are significant, we will provide additional notice where reasonably practical.

Neither party will be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including acts of God, natural disaster, war, terrorism, riots, embargoes, acts of civil or military authority, fire, flood, accidents, epidemics or pandemics, or strikes or shortages of transportation, facilities, fuel, energy, labor, or materials.

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, without requiring your consent.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary so that these Terms otherwise remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of UniCred.

Any notices required under these Terms will be provided in writing, either by email to the address associated with your account or registration, or by posting on the Platform. Notices to UniCred should be sent to the contact details in Section 22.
